Candidate MUST have at least 4 years of experience in commercial real estate and corporate law.Responsibilities 1. Commercial Real estateAbility to run commercial real estate files independentlyExperienced in commercial leasing, share purchase agreements, asset purchase agreements, franchise agreements, title and off title searches, reviews and opinions, transaction structuringExperience in dealing with mortgagees, including standstill and subordination agreements,security documentation, negotiation of holdbacks and escrow arrangementsExperience in dealing with title insurance and negotiating exceptions as required2.
Corporate LawAbility to run corporate law files independentlyExperienced in shareholder agreements, incorporations, amalgamations, share purchaseagreements, and corporate restructuringExperience in creating an external investor packageExperience in structuring vendor representations and warrantiesRequirementsJuris Doctor (JD) degree from an accredited law school in CanadaExcellent academic credentials with an LLB or JDMembership of the Law Society of Ontario in good standing4+ years of experience with mid sized or large firms practicing corporate/commercial real estate lawStrong technical legal, analytical and drafting skills combined with the ability to use logic to solve complex problems, excellent organizational skills and rigorous attention to detailStrong legal research, drafting, oral advocacy, and client services skillsAbility to handle competing deadlines on tight timelinesAn existing book of business is an asset, but not requiredSalary: $120,000 +Work Location: In-person
