Position Title: Legal Assistant
Location: Toronto
Contract Duration: 12 Months
Working Model: Hybrid (2-3 days in office)

Key Responsibilities:
- Organize and attend Board of Directors and Committee meetings for subsidiaries.
- Draft legal documents for corporate activities including incorporations, registrations, dividend payments, amalgamations, and dissolutions.
- Manage government filings and monitor annual corporate compliance.
- Maintain corporate records and internal databases.
- Develop and oversee systems for information management and data integrity.
- Prepare materials and logistical support for board and committee meetings.
- Respond to internal and external inquiries related to corporate records and legal agreements.
- Support strategic initiatives in collaboration with stakeholders.
- Conduct legal research, compile data, and draft reports.
- Recommend process improvements to enhance efficiency and effectiveness.
- Operate independently on a variety of complex tasks.
Qualifications:
Junior Candidate Requirements:
- 2-3 years of experience as a Law Clerk (not a Paralegal).
- College Law Clerk Certificate or equivalent.
- Experience within a corporate law firm or in-house legal department at a publicly listed company.
General Requirements:
- Eligible for membership in the Institute of Law Clerks of Ontario.
- Strong working knowledge of relevant legislation (e.g., Ontario Business Corporations Act, Canada Business Corporations Act, Corporations Information Act).
- Proficient in legal procedures, corporate filings, and document preparation.
- Advanced skills in MS Office, corporate databases (GEMS or similar), Diligent Board Portal (or similar), and other legal tech tools.
Interview Process:
- Junior Candidates: 2 interview rounds (one ideally in person)
