JOB RESPONSIBILITIES
Origination:
- Conduct industry research by screening and researching potential acquisition targets
- Identify and qualify company targets and nurture leads, proactively initiating and maintaining relationships with owners of software businesses by email, phone, LinkedIn, and conferences
- Grow EXA’s prospect database and qualify target companies to ensure they meet our investment profile based on a very specific set of criteria
- Lead M&A pipeline process by developing tailored messaging that engages critical decision makers
- Manage and grow EXA’s direct broker/advisor (boutique investment bank) network and drive deal flow through nurturing all broker/advisor relationships
- Lead the communication and analysis of all inbound deals from boutique investment banks and target company advisors
- Coordinate meetings, generate reports on leads, arrange qualified appointments and progress opportunities through the M&A pipeline
- Lead the development of new outreach and engagement strategies, including auditing the performance of existing strategies, and researching new and innovative methods for increasing the impact of EXA’s M&A Origination team
- Support M&A Origination & Execution team members, including leading the training/onboarding of new team members and supporting junior team members when needed
- Lead discussions with M&A target management teams and advisors from origination to the issuance of Indicative Offers and Letters of Intent, including drafting IO letters and LOIs, and fielding offer-specific questions following offers being issued
Execution:
- Review preliminary target company information, including Confidential Information Memorandums (CIM), company financials, and ownership structure to assess the quality of target companies
- Conduct analysis on acquisition target companies, including conducting attrition analysis, restating financials, and building discounted cash flow models at the IO and LOI stages
- Support negotiation of transaction documents, including NDAs, IO’s, and LOI’s
- Research, analyze and evaluate new investment opportunities through industry research, competitor assessments, financial statement analysis, and financial modeling
- Develop detailed financial models depicting a company’s historical and projected financial results and constructing optimal transaction structures
- Support Senior Director on both commercial and operational due diligence, and with building due diligence/operating models, as well assembling acquisition materials including press releases, Investment Memorandums, etc.
- Support Senior Director with the preparation of both internal and external investment presentations
- Support capital structure management, including debt refinancing, holding company cash flow analysis, and capital budgeting
- Support Senior Director and Strategy Team with planning and execution of integration of acquired companies
- Support Senior Director with ad-hoc analysis as required
JOB REQUIREMENTS
- Excellent academic performance in an Undergraduate Business or Finance/Accounting degree.
- Minimum 3-5 years of experience working in private equity, investment banking, transaction advisory, or corporate development.
- Exceptional interpersonal, verbal, and written communication skills.
- Advanced financial modeling skills, with a proven ability to build discounted cash flow models and structured analysis without templates.
- High financial literacy with the ability to build analysis and supporting presentations for executive and board-level audiences.
- Experience negotiating Indicative Offers, Letters of Intent, and conducting/supporting due diligence
- Experience working in technology is considered a strong asset.
- Proficiency with HubSpot beneficial.
- Excellent planning, organization, and time management skills.
- Ability to manage a pipeline of leads and exceed prospecting targets/KPIs.
- Highly metrics-driven and resilient.
- High degree of business acumen and confidence in presenting to C-suite executives and business owners.
- Ability to work independently and in a collaborative team-oriented hybrid environment.

- Willingness and ability to travel (including international travel) as required
- MBA and/or a professional designation (CA/CPA/CFA) is considered an asset.
