About the Role:
We are seeking a dynamic and results-oriented Senior Legal Counsel with a proven track record of at least 10 years of progressively responsible substantive legal experience, demonstrating a deep understanding of complex legal principles and their practical application. The successful candidate will possess demonstrable expertise in managing the legal aspects of business process outsourcing, AI applications development, software licensing, cloud computing agreements, and intellectual property protection. A strong and well-established background in operating effectively within a complex global business environment is essential, including familiarity with cross-border transactions and the nuances of legal frameworks across multiple jurisdictions.
This pivotal role demands a highly strategic thinker capable of anticipating legal risks and opportunities, developing innovative and pragmatic legal solutions, and providing clear, concise, and commercially focused legal advice to senior management and cross-functional teams. As Senior Legal Counsel, you will be expected to proactively support key business objectives within fast-paced digital and global markets, contributing to the development and execution of business strategies while ensuring compliance with all applicable laws and regulations. Responsibilities will include drafting, reviewing, and negotiating a wide range of complex commercial agreements; providing legal counsel on product development and launch initiatives; overseeing corporate governance matters; and staying abreast of evolving legal and regulatory frameworks relevant to the digital and global business. The ideal candidate will be a highly effective communicator, a strong negotiator, and a collaborative team player with the ability to build strong working relationships across the organization and with external partners.
Key Responsibilities:
- Legal Advisory:
- Expertly manage and prioritize a diverse array of tasks in a fast-paced, high-volume work environment, consistently meeting tight deadlines.
- Provide comprehensive legal guidance on a wide range of issues related to digital commercial solutions.
- Advise senior management and business units on potential legal risks and strategies in the development and implementation of digital solutions.
- Commercial Matters:
- Skillfully draft, review, and negotiate client-facing contracts to strike a balance between minimizing legal risks and facilitating commercial opportunities, ensuring both protection and growth for the organization.
- Ensure that contracts align with the company’s risk management policies and legal compliance requirements.
- Procurement Matters:
- Conduct thorough reviews and assessments of procurement documents and agreements, safeguarding the organization’s interests and effectively managing legal risks.
- Collaborate closely with the procurement group to effectively manage procurement opportunities, ensuring solid legal compliance and a streamlined procurement process.
- Regional Subsidiaries’ Board Management:
- Align subsidiary goals with the parent company’s strategy.
- Ensure legal and regulatory compliance with applicable local laws.
- Manage and coordinate subsidiary board meetings.
- Transfer Pricing:
- Work closely with the tax team in providing legal oversight and guidance on transfer pricing matters to ensure compliance with international tax laws and regulations.
- Cross-Functional Collaboration:
- Collaborate with various departments including IT, Security, Marketing, Sales, and Privacy teams to provide legal support and ensure compliance in digital initiatives.
- Act as a liaison between the legal department and other business units to provide seamless legal services.
- Team Management:
- Lead and manage a team of legal professionals, providing guidance, mentorship, and development opportunities.
- Foster a collaborative and high-performance team environment.
Required Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- A minimum of 10 years of substantive experience in a legal role with significant experience in managing digital commercial solutions.
- Demonstrated experience operating in a global environment, understanding cross-border legal issues, and managing international transactions.
- Comprehensive expertise in contract, intellectual property, data protection, and privacy laws.
- Excellent negotiation, drafting, and communication skills.
- Proven ability to independently manage complex legal matters and exercise sound legal judgment.
- Strong problem-solving skills with a focus on risk management and business-oriented solutions.
- High level of integrity, professionalism, and ethical standards.
- Proven experience in managing and leading a legal team.
- Willingness to travel internationally.

Conseil Juridique :

Sujets liés aux achats:
- Effectuer des examens approfondis et des évaluations des documents et accords d’achats, protégeant les intérêts de l’organisation et gérant efficacement les risques juridiques.
- Collaborer étroitement avec le groupe des achats pour gérer efficacement les opportunités d’approvisionnement, assurant une solide conformité juridique et un processus d’approvisionnement rationalisé.
Gestion du Conseil d’Administration des Filiales Régionales :
- Aligner les objectifs des filiales avec la stratégie de la société mère.
- Assurer la conformité juridique et réglementaire avec les lois locales applicables.
- Gérer et coordonner les réunions du conseil d’administration des filiales.
Prix de Transfert :
- Travailler étroitement avec l’équipe fiscale pour fournir une supervision juridique et des conseils sur les questions de prix de transfert afin d’assurer la conformité avec les lois et réglementations fiscales internationales.
Collaboration Interfonctionnelle :
- Collaborer avec divers départements incluant l’IT, la Sécurité, le Marketing, les Ventes et les équipes de confidentialité pour fournir un soutien juridique et assurer la conformité dans les initiatives numériques.
- Agir comme liaison entre le département juridique et les autres unités commerciales pour fournir des services juridiques transparents.
Gestion d’Équipe :
- Diriger et gérer une équipe de professionnels juridiques, fournissant orientation, mentorat et opportunités de développement.

Qualifications Requises :
- Diplôme de Docteur en Droit (JD) d’une école de droit accréditée.
- Un minimum de 10 ans d’expérience substantielle dans un rôle juridique avec une expérience significative dans la gestion de solutions commerciales numériques.
- Expérience démontrée d’opération dans un environnement global, compréhension des questions juridiques transfrontalières et gestion des transactions internationales.
- Expertise complète en droit des contrats, droit de la propriété intellectuelle, protection des données et lois sur la confidentialité.
- Excellentes compétences en négociation, rédaction et communication.
- Capacité prouvée à gérer de manière indépendante des questions juridiques complexes et à exercer un jugement juridique sain.
- Solides compétences en résolution de problèmes avec un accent sur la gestion des risques et les solutions axées sur les affaires.
- Haut niveau d’intégrité, de professionnalisme et de normes éthiques.
