<p><b>Company Description: </b></p><p><br></p><p>Solstice Law is a boutique Canadian tax and digital-assets law practice providing tailored legal solutions to protocols, founders, developers, and Web3-focused businesses, as well as growth-stage startups navigating complex tax and regulatory environments.</p><p><br></p><p>The firm specializes in domestic and offshore tax planning, cryptocurrency taxation, and tax litigation, advising on income tax, excise tax, provincial tax, and international tax matters.</p><p><br></p><p>Select clients include teams affiliated with Tensor Labs / Vector, Helius, and Phygitals.</p><p><br></p><p><b>Role Description:</b></p><p><br></p><p>Solstice Law is seeking to retain <b>two </b>experienced Canadian tax lawyers (or firms)Â on a <b>part-time, independent contractor basis </b>to support files involving:</p><ul><li>Corporate and international tax planning; and/or</li><li>Tax litigation, CRA audits, objections, and appeals.</li></ul><p><br></p><p>The candidate will work collaboratively with lead counsel while independently owning defined workstreams.</p><p><br></p><p><b>Scope of Work: </b></p><p><br></p><p><b>Corporate Tax Lawyer</b></p><ul><li>Advising on and researching relevant tax planning considerations for domestic and international tax matters</li><li>Reviewing and revising documents from international counsel for Canadian tax considerations (including SAFTs, SAFEs, Token Grants, share distribution agreements, and similar corporate documents)</li><li>Drafting step memoranda and corporate documents to implement client transactions (Tax-Free Rollovers, Share Exchanges, Subscriptions, Incorporations, Dissolutions, Reorganizations)</li><li>Tax planning for single and multi-entity structures with Holdcos, Opcos, Trusts, and Offshore Entities (e.g. Delaware, BVI, Cayman Islands, Panama, UAE)</li><li>Tax Memorandum drafting and support, including analysis on cryptocurrency-specific tax concerns</li></ul><p><br></p><p><b>Tax Litigation Lawyer </b></p><ul><li>Research and drafting tax audit responses</li><li>Reviewing and analyzing the tax considerations of cryptocurrency tax transactions and related activity</li><li>Corresponding with CRA Representatives, Clients and Third-Party specialists (accountants, valuators, and external counsel)</li><li>Conducting CRA audit and litigation risk assessments with the client and third-party specialists</li><li>Research and drafting for tax litigation pleadings (Notice of Objection, Notice of Appeal, Discovery Documents)</li><li>Reviewing complex financial records, including crypto transaction history from centralized exchanges, DeFi protocols, and related activity</li></ul><p><br></p><p><b>Qualifications</b></p><ul><li>4 + years of experience in Tax Planning, Corporate Transactions and/or Tax Litigation (candidates with fewer years of experience may be considered depending on experience)</li><li>Experience with domestic and international tax planning and/or experience with CRA audits, appeals, and litigation</li><li>Experience with tax research and AI software (e.g. TaxNet Pro, BlueJ Legal, etc)</li><li>Completing or in Process of Completing the In-Depth Tax Program</li><li>Strong analytical and problem-solving skills, with an emphasis on complex tax issues</li><li>Exceptional written and verbal communication skills to communicate legal advice clearly</li><li>Experience in tax law issues within blockchain, cryptocurrency, or Web3 sectors is an asset (but not required)</li><li>Ability to work effectively in a collaborative team environment</li></ul><p><br></p><p><b>Engagement Structure & Terms</b></p><ul><li>Engagement is strictly on an <b>independent contractor basis</b></li><li>No exclusivity; no employment relationship intended</li><li>Compensation structure flexible:</li><li>Hourly</li><li>Fixed-fee per deliverable</li><li>Per-file or ongoing retainer</li><li>Conflict checks and confidentiality obligations are required prior to engagement</li><li>Ability to scale involvement up or down depending on file load</li></ul><p><br></p><p><b>How to Apply: </b></p><ul><li>Resume, Cover Letter/or a description of relevant tax experience</li><li>Areas of specialization (corporate tax planning, tax litigation, or both)</li><li>Preferred engagement structure and rate range (can be discussed if we proceed)</li></ul><p><br></p><p>This engagement is best suited for a candidate who values technical excellence, independence, and clear accountability in complex tax matters.</p><p><br></p><p>Apply directly through LinkedIn or by email at anish@solsticelaw.io.</p>Create Your Resume First
